Terms of Service

Effective date: September 15, 2026

Welcome to Party Pass. Party Pass Digital LLC, a New York limited liability company (together with its affiliates, members, managers, employees, agents, and representatives, “Party Pass,” “we,” “us,” or “our”), operates the website at https://partypass.vip (the “Site”) and the Party Pass mobile application (the “App”). The Site and App let event organizers create event pages, sell tickets, manage guest lists, check in attendees, and collect payment, and let attendees discover and buy tickets to those events (together with all related features, products, and services, the “Services”).

These Terms of Service (the “Terms”) are a binding agreement between you and Party Pass. They apply to everyone who uses the Services, whether or not you create an account.

By creating an account, buying a ticket, publishing an event, or otherwise using the Services, you:

  1. confirm that you have read and understand these Terms and our Privacy Policy;
  2. confirm that you are at least eighteen (18) years old, or the age of majority where you live, or that you are using the Services with the permission and supervision of a parent or legal guardian;
  3. confirm that you have the authority to agree to these Terms for yourself or for the organization you represent; and
  4. agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not use the Services.

1. Who’s who

  • “User” means anyone who uses the Services.
  • “Organizer” means a User who creates, publishes, or promotes an event on the Services or sells tickets through the Services.
  • “Attendee” means a User who buys or holds a ticket to an event through the Services.
  • “Promoter” means a User an Organizer invites to promote an Event in exchange for a commission on ticket sales.
  • “Event” means any event, party, show, or experience listed on the Services by an Organizer.

These Terms also apply to anyone who buys a ticket as a guest without creating an account.

2. Your account

Creating an account. To buy tickets or publish Events you must create an account. You must give us accurate, current, and complete information and keep it up to date. We may suspend or close your account if any information you gave us is false, inaccurate, or incomplete.

One person, one account. You may not create more than one account, use someone else’s name, use a temporary or secondary email address to open extra accounts, or let anyone else use your account.

Keeping it secure. You are responsible for keeping your password and login details private and for everything that happens under your account. Tell us right away at support@partypass.vip if you think someone has accessed your account without permission. We are not responsible for any loss caused by someone else using your account unless it happened through no fault of your own.

Phone number and text messages. A phone number is required to create an account. By giving us your phone number you agree that we may send you service text messages, such as verification codes, password reset codes, a link to your ticket if your email bounces, and reminders about Events you hold tickets to. We do not send marketing texts. Message and data rates may apply. You can turn off reminder texts in your account settings or by contacting us at support@partypass.vip; we may still send security codes needed to access your account.

Deleting your account. To close your account, email support@partypass.vip and we will process your request.

3. Organizers

You are responsible for your Event. When you list an Event you promise that:

  1. you have the right to hold and promote the Event, and you will get every license, permit, venue agreement, and other approval the Event needs before you sell tickets, and will show them to us if we reasonably ask;
  2. you will follow every law, rule, and regulation that applies to your Event, including venue rules, capacity limits, fire and safety rules, alcohol laws, and age restrictions;
  3. you will check the age and identity of Attendees where the law or the venue requires it, including at any Event where alcohol is served;
  4. your Event listing is accurate, complete, and not misleading, and you will update it if anything changes;
  5. every ticket sold through the Services gives the holder the access it describes, with no extra purchase, separate delivery, or outside step required; and
  6. you will honor every valid ticket at the door.

Your terms, your taxes. You are responsible for setting and posting any terms that apply to your Event (for example, dress code, entry rules, or your own refund policy) and for paying any income, sales, or other taxes you owe because of your use of the Services.

Your insurance. You are responsible for carrying any insurance needed for your Event, including general liability insurance where a venue or the law requires it.

Stripe onboarding comes first. You must complete Stripe Connect onboarding, including identity and bank details, before you can create or publish an Event.

The account holder is the seller of record. Ticket revenue for an Event is paid to the Stripe account of the individual User account that created the Event, even if the Event is listed under an organization. That User is responsible for the Event and for everything owed under these Terms.

Your team. You may add collaborators, Promoters, and door staff to your Event. You are responsible for their actions on the Services and for keeping door-scanner links private. Anyone with a scanner link can check in tickets for that Event.

Party Pass is a platform, not a promoter. Party Pass does not organize, host, run, or sell your Event. We provide the tools; you provide the Event. We are not your partner, agent, or joint venturer.

4. Attendees

When you buy a ticket you understand and agree that:

  1. the Event is put on by the Organizer, not by Party Pass, and we are not responsible for the Event, its quality, its safety, or whether it happens at all;
  2. the Organizer’s own Event rules apply to you, and you are responsible for following them, including any age requirement;
  3. you are responsible for all charges on your purchase, including the ticket price, any Party Pass fees shown at checkout, and any applicable taxes; and
  4. you must be at least eighteen (18) years old to buy a ticket, and you confirm your age at checkout;
  5. each ticket has a unique QR code that works once. Once it is scanned, it cannot be used again;
  6. tickets cannot be transferred to another person except by listing them for resale through the Services (see Section 7); and
  7. during checkout, tickets are held for you for a limited time. If you do not complete payment before the hold ends, the hold is released and the tickets go back on sale.

5. Fees and payment

Fees are shown before you pay. On paid tickets, the Attendee pays the ticket price plus a Party Pass platform fee (currently 7.5% of the ticket price) and a service fee (currently $2.00 per order). Both are shown at checkout before purchase. Free tickets carry no fees. We may change our fees at any time; changes apply only to purchases made after the change.

Taxes. Party Pass does not collect or remit sales tax. Organizers are responsible for determining, collecting, and paying any tax that applies to their ticket sales.

Payments run through Stripe. All payments on the Services are processed by Stripe, Inc. (“Stripe”). Organizers must connect a Stripe account to receive ticket revenue, and Organizers and Attendees agree to Stripe’s terms of service. Party Pass is not a bank and does not hold your money. We are not responsible for Stripe’s acts, omissions, delays, or fees.

Payouts to Organizers. Ticket revenue is paid to the Organizer’s connected Stripe account under Stripe’s payout schedule. We may delay, hold, or reverse a payout, or ask for more information, if we reasonably suspect fraud, a violation of these Terms, a security risk, or a dispute about an Event.

Fee share program. When the program is active, eligible Organizers receive fifty percent (50%) of Party Pass’s net platform fees earned on an Event. Net fees means our platform and service fees minus payment processing costs. The program may be paused, changed, or ended at any time, and applies only to Events created on or after its launch date. Fee share is calculated per Event, is paid as a separate transfer no earlier than three (3) business days after the Event ends, and is subject to a minimum payout of twenty-five U.S. dollars ($25.00); amounts under the minimum roll into the Organizer’s next Event. Tickets that are refunded or charged back earn no fee share. The eligibility rules, rate, hold period, and minimum may change at our discretion, and we may withhold fee share for any Event where we suspect fraud or a violation of these Terms.

Promoters. Organizers may invite Promoters and set a commission rate on sales the Promoter refers. Commissions are added to the checkout total and paid to the Promoter’s connected Stripe account after the sale. A Promoter must complete Stripe Connect onboarding to be paid. Commissions on sales referred before onboarding is complete may not be paid out.

6. Refunds and chargebacks

Refunds are up to the Organizer. Every ticket purchase is subject to the refund policy of the Organizer and the Event. Party Pass does not decide whether you get a refund. To request one, contact the Organizer, or email support@partypass.vip and we will put you in touch with the Organizer.

When a refund is issued, the Attendee gets everything back. If an Organizer refunds a ticket, or a chargeback succeeds, the Attendee receives the full amount they paid, including any Party Pass fees.

Organizers bear the cost. The Organizer is responsible for the full refunded or charged-back amount, plus any dispute or chargeback fee that Stripe charges, which is deducted from the Organizer’s Stripe balance. Party Pass’s platform fee and Stripe’s processing fees are not returned to the Organizer, regardless of the reason for the refund. These amounts are deducted from the Organizer’s connected Stripe account.

Canceled or changed Events. If an Event is canceled, postponed, or materially changed, the Organizer is responsible for notifying Attendees and for any refunds owed. We may, but are not required to, refund Attendees on the Organizer’s behalf where we believe it is appropriate.

7. Resale

Listing a ticket. If you hold a purchased ticket to an Event that has not started, you may list it for resale on the Services at a price you choose. Party Pass does not set a minimum or maximum resale price.

How resale money is split. When a resale ticket sells, the buyer pays the listed price plus Party Pass’s platform and service fees. The listed price is split fifty percent (50%) to the original Organizer of the Event and fifty percent (50%) to the reseller. You must have a connected Stripe account to receive resale proceeds.

Your old ticket stops working. When your resale completes, your original QR code is canceled and a new one is issued to the buyer. Do not use or share a ticket you have sold.

No guarantees. Party Pass does not guarantee that a listed ticket will sell. Resale listings are subject to the same rules as other content on the Services.

8. Dealing with other Users

Your dealings with other Users, including buying, selling, and attending Events, are between you and them. Party Pass is not a party to those dealings and is not anyone’s agent. Use good judgment. IF YOU HAVE A DISPUTE WITH ANOTHER USER, PARTY PASS HAS NO OBLIGATION TO GET INVOLVED, AND YOU RELEASE PARTY PASS FROM ALL CLAIMS, DEMANDS, AND DAMAGES OF ANY KIND ARISING OUT OF OR RELATING TO THAT DISPUTE.

9. Using the Services

Your license. We give you a personal, limited, non-exclusive, non-transferable license to use the Services in line with these Terms and the law.

Our rights. We may change, suspend, limit, or shut down any part of the Services at any time, with or without notice, and we are not liable to you or anyone else for doing so. We may cancel unconfirmed, duplicate, or inactive accounts; delay, refuse, or remove any listing or content; and take technical or legal steps to stop misuse.

Availability. The Services may be unavailable from time to time for maintenance or for reasons outside our control. We are not responsible for connectivity problems or for lost data or transactions caused by outages.

10. Things you may not do

You agree not to:

  1. use the Services for anything illegal or fraudulent, or in a way that breaks any law;
  2. list an Event you are not authorized to hold, or sell tickets that do not give the access they describe;
  3. post anything false, misleading, threatening, harassing, hateful, defamatory, pornographic, or harmful to minors, or that violates anyone’s rights;
  4. post content you do not have the right to post, or that infringes anyone’s copyright, trademark, or other rights;
  5. collect information about other Users without their consent, or send spam or unsolicited messages;
  6. use bots, scrapers, or other automated tools to access the Services, or put an unreasonable load on our systems;
  7. try to gain unauthorized access to the Services, bypass security, or reverse engineer any part of the Services;
  8. copy, sell, rent, sublicense, or commercially exploit any part of the Services, or use it to build a competing product;
  9. impersonate anyone, misrepresent your identity, or sell or transfer your account;
  10. use or share a ticket after you have resold it, or share a door-scanner link with anyone not working your Event; or
  11. upload viruses or any code meant to damage or interfere with the Services.

If we believe you have broken these rules we may suspend or terminate your access, withhold payouts connected to the violation, investigate, and take legal action, including working with law enforcement.

11. Content

Your content. You may post text, images, videos, and other material (“User Content”). You are responsible for your User Content, including that it is legal, accurate, and yours to post. You promise that you own it or have permission to use it, and that it does not include anyone else’s copyrighted material without permission.

License to us. You keep ownership of your User Content. By posting it, you give Party Pass and our service providers a non-exclusive, royalty-free, worldwide, perpetual, sublicensable license to use, host, copy, modify, display, and distribute it on and through the Services and to market and promote Party Pass and the Events on it. We can also show your User Content to other Users.

Feedback. If you send us ideas, suggestions, or feedback about the Services, we may use them for any purpose without paying you, and you waive any claim to them.

Our content. The Services, and everything we make available through them (including software, design, text, graphics, logos, and trademarks), belong to Party Pass or our licensors and are protected by law. You may not copy, modify, or create derivative works from them, and you may not use the Party Pass name or logo without our written permission.

12. Copyright complaints

We respect copyright and follow the Digital Millennium Copyright Act (DMCA). If you believe content on the Services infringes your copyright, email our copyright agent at support@partypass.vip with:

  1. your physical or electronic signature;
  2. a description of the copyrighted work you say has been infringed;
  3. where on the Services the infringing material is located;
  4. your address, phone number, and email address;
  5. a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and
  6. a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.

If your content was removed and you believe it was a mistake, you may send a counter-notice to the same address with your signature, identification of the removed content and where it appeared, a statement under penalty of perjury that you have a good-faith belief it was removed by mistake, your name, address, phone number, and email, and a statement that you consent to the jurisdiction of the federal courts in New York City and will accept service from the person who sent the original notice. We may restore the content in 10 to 14 business days unless the complaining party files a court action. We may terminate the accounts of repeat infringers, and may do so after a single infringement where appropriate.

13. Third parties

Tour pages. Some artists and Organizers use the Services to host tour pages that link to tickets sold by outside venues or ticket sellers. Party Pass does not sell those tickets and is not responsible for them. If you submit your contact information on a tour page, it is shared with the artist or Organizer who runs that page, and that page may use advertising tools such as Meta or TikTok pixels as described in our Privacy Policy.

Links and ads. The Services may include advertising, sponsorships, or links to third-party websites and services. We do not control them and are not responsible for their content, products, or practices. Your use of them is at your own risk and subject to their terms.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, PARTY PASS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY EVENT WILL TAKE PLACE, BE SAFE, OR BE AS DESCRIBED. PARTY PASS HAS NO CONTROL OVER AND DOES NOT GUARANTEE THE EXISTENCE, QUALITY, SAFETY, OR LEGALITY OF ANY EVENT OR THE ACCURACY OF ANY LISTING.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PARTY PASS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR ANY EVENT, EVEN IF WE HAVE BEEN TOLD SUCH DAMAGES ARE POSSIBLE. THIS INCLUDES ANY INJURY, LOSS, OR DAMAGE THAT HAPPENS AT OR BECAUSE OF AN EVENT. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE PARTY PASS FEES YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

16. Indemnification

You agree to defend, indemnify, and hold harmless Party Pass and its members, managers, employees, and agents from any claim, loss, liability, damage, or expense (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Services, (b) your User Content, (c) your Event, if you are an Organizer, including any injury, property damage, or legal violation connected to it, (d) your breach of these Terms, or (e) your violation of any law or anyone’s rights.

17. Dispute resolution and arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT.

Talk to us first. Before starting any formal proceeding, you agree to send us a written description of your dispute at support@partypass.vip within thirty (30) days of the event that caused it, and to negotiate with us in good faith for sixty (60) days after we receive it.

Binding arbitration. If we cannot resolve the dispute within those sixty (60) days, either of us may start binding arbitration as the only way to resolve it. All claims arising out of or relating to these Terms, our relationship, or your use of the Services will be finally settled by binding arbitration run by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and, where applicable, its supplementary procedures for consumer disputes, excluding any rules permitting class actions. The AAA’s rules are at www.adr.org or by calling +1 (800) 778-7879. The arbitrator, not any court, has exclusive authority to decide all questions about the interpretation, applicability, enforceability, or formation of these Terms, including whether a claim must be arbitrated. The arbitrator may award any relief a court could award. The award is binding and may be entered as a judgment in any court with jurisdiction. You understand that without this section you would have the right to sue in court and have a jury trial, and that arbitration may cost more and allow less discovery than court.

Location. The arbitration will take place in New York, New York, unless the parties agree otherwise or the AAA rules allow it to be held remotely.

No class actions. YOU AND PARTY PASS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. If a court or arbitrator decides this class action waiver is unenforceable, then the arbitration agreement in this section is void in its entirety, and the parties will resolve their dispute in court under the Governing Law section below.

Exceptions. Either party may bring a claim in court to protect its intellectual property rights (patents, copyrights, moral rights, trademarks, and trade secrets, but not privacy or publicity rights), and either party may bring a qualifying claim in small claims court.

Opt-out. You may opt out of this arbitration agreement and class action waiver by emailing support@partypass.vip within thirty (30) days of your first use of the Services. If you opt out, neither you nor Party Pass is bound by this section.

Changes to this section. We will give thirty (30) days’ notice of any change to this section. Changes take effect on the thirtieth day and apply only to claims arising after that date.

18. General terms

Governing law. These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Subject to the arbitration section, any court proceeding arising out of or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in New York, New York, and you consent to their jurisdiction and venue.

U.S. only. The Services are operated from New York and are intended for use in the United States. If you use them from elsewhere, you are responsible for following local law.

Changes to these Terms. We may update these Terms at any time. The current version, with its effective date, will always be posted on the Site. If we make material changes we will notify you by a notice on the Site or by email to the address on your account. Changes are never retroactive. Continuing to use the Services after a change means you accept the updated Terms.

Termination. We may suspend or terminate your account or these Terms at any time, for any reason, with notice to you. Sections that by their nature should survive (including fees owed, content licenses, disclaimers, limitation of liability, indemnification, and dispute resolution) survive termination.

Assignment. You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without your consent.

Entire agreement. These Terms, our Privacy Policy, and any supplemental terms we post for specific features or promotions are the entire agreement between you and Party Pass about the Services and replace any earlier agreements. If supplemental terms conflict with these Terms, the supplemental terms control for that feature only.

Severability and waiver. If any part of these Terms is unenforceable, the rest stays in effect and the unenforceable part will be modified as little as needed to make it enforceable. Our failure to enforce any right is not a waiver of it.

No partnership. Using the Services does not make you our employee, agent, partner, or joint venturer.
